A step-by-step compliance and incorporation guide for founders looking to set up their legal entity in Karnataka, covering DSC, DIN, SPICe+ filings, and initial bank setup.
Bangalore remains the startup capital of India. If you are a founder ready to turn your product idea into a formal corporate entity, incorporating a Private Limited (Pvt Ltd) Company is the most popular route. It offers limited liability, allows equity distribution among co-founders, and is the mandatory structure for raising venture capital.
Step 1: Obtain Digital Signature Certificates (DSC)
Since all MCA (Ministry of Corporate Affairs) filings are digital, the first step is obtaining a DSC for all proposed directors. A DSC is a secure digital key used to sign electronic forms.
Timeline: Usually takes 1-2 working days and requires video verification.
Step 2: Apply for Director Identification Numbers (DIN)
Every director of an Indian company must have a unique DIN. It is a lifetime identifier. If the proposed directors already hold DINs from previous ventures, they can use them directly. If not, DIN is applied for within the SPICe+ incorporation form.
Step 3: Name Reservation (RUN Form)
Your company name must be unique, describe your activity, and not conflict with existing trademarks. You can check name availability on the MCA portal and trademark registers.
- Submit up to 2 name choices in order of preference.
- MCA approvals usually take 2-3 working days.
Registration in Karnataka:
Your registered office address will determine your state jurisdiction (ROC Bangalore). Ensure you have a valid rent agreement, utility bill (electricity/water), and a No Objection Certificate (NOC) from the property owner.
Step 4: Filing SPICe+ (SPICe Plus)
This is the core incorporation step. SPICe+ is a single-window form that registers:
- Company incorporation
- DIN allocation
- PAN (Permanent Account Number) allocation
- TAN (Tax Deduction and Collection Account Number) allocation
- EPFO & ESIC registration
- Professional Tax registration (mandatory in Karnataka)
- Bank account opening request
Post-Incorporation Compliance

- Deposit Share Capital: Open the bank account and deposit the subscription money within 180 days.
- Commencement of Business: File Form INC-20A with the ROC to declare capital infusion.
- Appoint First Auditor: Appoint a statutory auditor within 30 days of incorporation.
